Using Lense Means Accepting These Terms

These Terms of Service (the "Terms"), in conjunction with our Privacy Policy, constitute the entire Agreement between Rewaive B.V. d/b/a Lense ("we", "us", or "our") and you ("you", "your" or the "User"). These Terms govern your use of the lense.app website, the Lense Mobile application, the Lense web version, and/or the Lense services (collectively, the "Service"). By using the Service, you acknowledge that you have read and agreed to these Terms, so please read them carefully. These Terms supersede all prior agreements, understandings, and representations between you and Lense regarding the Service. We may update these Terms from time to time. Once any updated Terms are in effect, you will be bound by them if you continue to use the Service. If you do not agree to our updated Terms, you can delete your account at any time.

These Terms outline the rules and regulations for the use of the Service.

Acceptance of Terms:

By downloading and using the Service, you are agreeing to these Terms. If you do not agree to these Terms, you are not allowed to download or use the Service. By using the Service, you declare that you are at least 16 years of age. If you are under the age of 18, you confirm that you have obtained consent from a parent or legal guardian to use the Service. Users under the age of 16 are not permitted to use the Service.

Privacy:

The Service uses location data to provide you with relevant content and to improve your user experience. You can choose whether you want us to collect your location data by changing the location settings on your device. If you choose to share your location data, we can use it to provide you with relevant content and to improve your user experience. If you choose not to share your location data, you can still use the Service, but some features may be limited.

• Right to data portability: You have the right to receive your personal data in a structured, commonly used, and machine-readable format.

Use of the Service:

You may only use the Service for legal purposes. It is not allowed to use the Service for any purpose that is in violation of the law or public order, or for any purpose that is harmful to us or other users of the Service. You may also not use the Service in a way that could lead to overloading or damage to our servers or other infrastructure.

Intellectual property rights:

The Service and the accompanying content, including texts, images, audio and video material, are protected by intellectual property rights of Lense or third parties. You may not use the Service and the accompanying content for any purpose that is illegal, violates public order, or is harmful to us or other users of the Service. You also may not use the Service in a way that could lead to overload or damage to our servers or other infrastructure.

Lense reserves the right to modify, remove, or terminate the Service and the accompanying content without prior notice or accountability. Lense is not liable for any damages you may incur as a result of changes, removals, or terminations of the Service and the accompanying content.

You are responsible for complying with the intellectual property rights of third parties and indemnify Lense against any claims from third parties arising from your use of the Service and the accompanying content.

Liability:

Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, (c) intentional misconduct or gross negligence, or (d) any other liability that cannot be excluded or limited under applicable Dutch or European Union law.

Subject to the above, and to the extent permitted by applicable law, Lense is not liable for any indirect, special, or consequential damages (including loss of profits) resulting from the use of the Service or the inability to use the Service, including damages arising from errors, omissions, delays, non-transmission of information, or unauthorized use of information provided by the Service. In any event, our total aggregate liability to you for all claims arising out of or in connection with the Service shall not exceed the total amount you have paid to Lense in the twelve (12) months immediately preceding the event giving rise to the claim.

We try our best to ensure that the Service is free from errors and that the information we provide is accurate, but we cannot guarantee this.

License:

You may share the photos and other content you create with the Service on social media or in other ways. It is not allowed to use the photos for commercial purposes such as selling the photos to third parties or using the photos in advertisements, without our prior written permission.

Unless otherwise stated, Lense and/or its licensors own the intellectual property rights for all data on the Service that is not created by you. All intellectual property rights are reserved. You have access to this from Lense for your own use, subject to the limitations set out in these Terms.

You may not:

• Sell, rent, or sublicense material from Lense that is not created by you
• Reproduce, duplicate, or copy material from Lense that is not created by you
• Redistribute content from Lense that is not created by you

By using the Service, users are given the opportunity to post and exchange opinions, information, photos, and other content ("User Content") on certain parts of the Service. Lense does not filter, edit, publish, or review User Content before its presence on the Service. User Content does not reflect the views and opinions of Lense, its agents and/or affiliated businesses. User Content reflects the views and opinions of the person posting it. To the extent permitted by applicable law, Lense is not liable for User Content or any liability, damages, or costs caused and/or suffered as a result of the use of and/or posting of and/or appearance of User Content on the Service.

Lense reserves the right to review all User Content, and to remove any content that may be deemed inappropriate or offensive, or that violates these Terms.

You guarantee and declare that:

• You have the right to post User Content on our Service and have all necessary licenses and permissions to do so;
• The User Content does not infringe upon any intellectual property rights, including but not limited to copyrights, patents, or trademarks of a third party;
• The User Content does not contain defamatory, libelous, offensive, obscene, or otherwise unlawful material, which is an invasion of privacy.
• The User Content will not be used to solicit or promote business or customized or current commercial activities or unlawful activities.

By submitting User Content, you grant Lense a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your User Content solely for the purpose of operating the Service and performing automated content moderation (such as NSFW detection). This license does not grant Lense the right to sell, edit, or distribute your User Content to third parties or use it for purposes unrelated to the Service. This license terminates when you delete your User Content from the Service or when your account is deleted, except where your User Content has been shared with other users who have not deleted it, or where retention is required by law.

Hyperlinks to our content:

You may link to our Service provided that the link: (a) is not misleading; (b) does not falsely imply sponsorship, endorsement, or approval by Lense; and (c) fits within the context of the linking party's site.

Using the Lense logo or other artwork for linking is not permitted without a trademark license agreement. We reserve the right to request the removal of any link to our Service at any time.

User Conduct

As a user of our Service, you are responsible for your own conduct and behavior while using the Service. You agree to use the Service only for lawful purposes and in a manner that does not infringe upon the rights of others or inhibit others from using the Service.

You are expressly prohibited from using the Service to engage in any of the following activities:

• Transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonating another person or entity, or falsifying or deleting any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material.
• Transmitting any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment.
• Violating any applicable laws, regulations, or third-party rights, including intellectual property, privacy, or publicity rights.

You are also prohibited from using the Service in a way that could damage, disable, overburden, or impair the Service or our servers, or interfere with any other party's use and enjoyment of the Service.

We reserve the right to remove or disable access to any content or account that violates these Terms, and we may take appropriate legal action against any user who violates these Terms.

If you encounter any inappropriate behavior from other users while using the Service, please report it immediately to our customer service team at [email protected]. We reserve the right to take appropriate action against any user who engages in such behavior, including the removal of their account and possible legal action.

By using the Service, you acknowledge that you have read, understood, and agreed to abide by these user conduct guidelines.

Liability for content:

We cannot be held responsible for any content that appears on the Service that is posted by users. You agree to protect and defend us against all claims arising from content posted on the Service. No links on the Service may appear that can be interpreted as defamatory, obscene, or criminal, or that infringe, otherwise violate, or advocate for the infringement or other violation of the rights of third parties.

Reservation of Rights:

We reserve the right to request that you remove all links or any particular link to our Service. You agree to immediately remove all links to our Service upon request. We also reserve the right to modify these Terms and linking policy at any time. By continuing to link to our Service, you agree to be bound by and abide by these linking terms and conditions.

Removal of opinions, information, and content from our Service:

If you find any opinions, information, and content on our Service that are offensive for any reason, you can contact us at any time and let us know. We will consider requests to remove content, but we are not obligated to directly respond to you.

We do not ensure that the information on the Service is correct. We do not guarantee completeness or accuracy, nor do we promise to keep the Service available or keep the material on the Service up to date.

In-app purchases:

The Service offers the option to make in-app purchases, including purchasing access to event photos. All in-app purchases are completely optional and are not necessary to use the basic features of the Service.

Event purchases: When you purchase access to an event, you gain access to the photos associated with that event for a period of one (1) year from the date of purchase. After this period, access to the event photos will expire. It is your responsibility to download any photos you wish to keep before your access expires. If an event is cancelled by the organizer, you are entitled to a full refund of the purchase price.

You may only make in-app purchases with your own funds and not with the funds of others without their permission.

Right of withdrawal: Under EU consumer law, you have the right to withdraw from a digital content purchase within 14 days of purchase. However, by confirming your in-app purchase, you expressly consent to the immediate delivery of the digital content. Once the digital content has been fully delivered, you acknowledge that you waive your 14-day right of withdrawal. If the digital content has not yet been delivered, you may exercise your right of withdrawal by contacting us at [email protected].

We reserve the right to change the prices of in-app purchases and to add new in-app purchases or remove existing in-app purchases without notice.

It is your responsibility to check that you are making the correct in-app purchases and to ensure that you are paying the correct amount. We cannot provide refunds for incorrect or duplicate in-app purchases unless legally required to do so.

Third-Party Services:

In-app purchases may be processed through third-party platforms such as the Apple App Store or Google Play Store. These transactions are subject to the terms and conditions of the respective platform provider. We are not responsible for the payment processing, refund policies, or any other terms imposed by these third-party platforms.

The Service may contain links to or integrations with third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to those services' respective terms.

Account Termination by User:

You may terminate your account at any time by deleting your account through the app settings or by contacting us at [email protected]. Upon account deletion, we will remove your personal data from our servers in accordance with our Privacy Policy, subject to any legal obligations to retain certain data.

Changes to the Terms of Service:

Lense reserves the right to modify these Terms of Service at any time. We will notify you of material changes by email or through a prominent notice within the Service at least thirty (30) days before the changes take effect. It is the responsibility of the user to regularly review the Terms of Service to stay informed of any changes. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you may delete your account before the changes take effect.

Termination of the User Agreement:

Lense reserves the right to terminate the User Agreement with reasonable notice, or immediately in case of a material breach of these Terms. If the User Agreement is terminated, your personal data will be handled in accordance with our Privacy Policy. We will also block your access to the Service.

Indemnification:

You agree to indemnify, defend, and hold harmless Rewaive B.V., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any User Content you submit through the Service.

Disclaimer:

To the maximum extent permitted by applicable law, we exclude all statements, warranties, and terms in relation to the Service and the use of the Service. Nothing in this disclaimer will:

• limit or exclude our or your liability for death or personal injury;
• limit or exclude our or your liability for fraud or fraudulent misrepresentation;
• limit or exclude our or your liability for intentional misconduct or gross negligence;
• limit any of our or your liabilities in any way that is not permitted under applicable law; or
• exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer or in relation to the subject matter of this disclaimer, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.

To the extent that any part of the Service is provided to you free of charge (i.e., without a paid purchase), our liability for that free portion is excluded to the fullest extent permitted by applicable law.

Governing Law and Jurisdiction:

These Terms are governed by and construed in accordance with the laws of the Netherlands. Before initiating legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting the other party and allowing thirty (30) days for a resolution. If the dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the competent court of Oost-Brabant ('s-Hertogenbosch), the Netherlands.

If you are a consumer residing in the European Union, you retain the benefit of any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

If you are a consumer in the EU, you may also make use of the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely achieves the intent of the original provision.

Assignment:

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Lense may assign or transfer its rights and obligations under these Terms to a third party, for example in connection with a merger, acquisition, or sale of assets, provided that such transfer does not materially reduce the protection of your rights under these Terms.

Force Majeure:

Lense shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or cyberattacks.
